Terms & Conditions

1. Nature of Business

MGE operates as a merchant exporter based in Mumbai, India, engaged in sourcing, quality control, documentation, and export of agricultural produce and FMCG products. We act as a supply chain partner and do not manufacture all products directly.

2. Product Information & Representation

All product descriptions, specifications, images, and quality parameters shared on the website or via communication are indicative in nature. Final product specifications, packaging, and quality standards shall be as mutually agreed in the Proforma Invoice (PI), Purchase Order (PO), or Sales Contract.

3. Orders & Contract Formation

No order shall be deemed confirmed unless:

• A written agreement, PI, PO or contract is issued by or with MGE; and
• The buyer provides written acceptance and/or advance payment as agreed.

MGE reserves the right to accept or reject any order at its sole discretion.

4. Pricing & Payment Terms

Prices are subject to change based on market conditions, raw material availability, logistics costs, and regulatory factors.

Unless otherwise agreed in writing:

• Payments shall be made via secure banking channels.
• Advance payment or Letter of Credit (LC) may be required.
• All bank charges outside India shall be borne by the buyer.

Delay in payment may result in suspension of shipments or cancellation of orders.

5. Quality, Inspection & Compliance

MGE ensures that products meet agreed export standards and applicable regulatory requirements of the destination country, based on information provided by the buyer.

• Third-party inspection agencies may be engaged if mutually agreed.
• Any quality claims must be supported by documented evidence and raised within the agreed timeline post-delivery.

MGE shall not be liable for issues arising from improper storage, handling, or distribution after delivery.

6. Packaging & Labeling

Packaging and labeling will be carried out as per agreed specifications. Compliance with destination country regulations (including labeling, language, and certifications) must be clearly communicated by the buyer prior to order confirmation.

7. Shipping & Delivery

All shipments shall be governed by the agreed Incoterms (latest version).

• Risk and responsibility transfer shall be as per the selected Incoterm.
• Estimated delivery timelines are indicative and subject to factors beyond MGE's control, including port congestion, customs delays, and force majeure events.

8. Documentation

MGE will provide standard export documentation including but not limited to:

• Commercial Invoice
• Packing List
• Bill of Lading / Airway Bill
• Certificate of Origin (if required)

Additional documentation shall be provided subject to prior agreement.

9. Limitation of Liability

To the maximum extent permitted by law:

• MGE shall not be liable for indirect, incidental, or consequential damages, including loss of profit or business.
• MGE's total liability shall not exceed the value of the goods supplied under the relevant contract.

10. Force Majeure

MGE shall not be held liable for failure or delay in performance due to events beyond its reasonable control, including but not limited to natural disasters, war, government restrictions, labor disruptions, pandemics, or logistics breakdowns.

11. Intellectual Property

All content on the website, including text, branding, logos, and materials, is the property of MGE and may not be reproduced or used without prior written consent.

12. Confidentiality

Any commercial, technical, or financial information shared between MGE and the buyer shall be treated as confidential and shall not be disclosed to third parties without prior consent.

13. Governing Law & Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of India. Any disputes shall be subject to Mediation and Conciliation in the exclusive jurisdiction of India only.

14. Amendments

MGE reserves the right to update or modify these Terms at any time without prior notice. Continued use of the website or services constitutes acceptance of the revised Terms.
